Welcome to Calibr8ted. These Terms of Service ("Terms") govern your use of our vacation rental pricing optimization platform. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our platform, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

2. Description of Service

Calibr8ted provides a SaaS platform for vacation rental pricing optimization, including:

• Automated pricing recommendations via our Golden Engine algorithm
• Market positioning analysis and comp set data
• Performance tracking and reporting
• Integration with Airbnb, VRBO, PriceLabs, and other platforms
• 4PPE Diagnostic Audit services

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. By registering, you represent and warrant that all information provided is accurate and current.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You agree to notify us immediately of any unauthorized access or security breach
• You are responsible for all activities that occur under your account
• You may not share your account credentials with others

4. Subscription and Payment

4.1 Pricing Plans

• 4PPE Diagnostic Audit: $250 one-time payment
• Golden Engine: $150/month per listing
• Bundle Offer: GE subscription + audit for $100 (first month: $250 total)
• Enterprise: Custom pricing for 10+ properties

4.2 Billing

• Subscriptions are billed monthly in advance via Stripe
• Prices are subject to change with 30 days notice
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method on file

4.3 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months or unused services
• We reserve the right to terminate accounts for violation of these Terms

5. Use of Service

5.1 Permitted Use

You may use our platform solely for managing pricing for your own vacation rental properties or properties you manage professionally.

5.2 Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Share your account with unauthorized users
• Reverse engineer, decompile, or attempt to extract our algorithms
• Use our service to compete with us or develop competing products
• Scrape, harvest, or collect data from our platform via automated means
• Upload malicious code, viruses, or harmful content
• Interfere with or disrupt our services or servers
• Misrepresent your identity or property information

6. Data and Privacy

6.1 Your Data

• You retain ownership of your property data and listings
• You grant us a license to use your data to provide our services
• We may use aggregated, anonymized data for analytics and improvement

6.2 Platform Integrations

By connecting third-party platforms (Airbnb, PriceLabs, HostAway), you authorize us to:

• Access your listing data, calendars, and performance metrics
• Make pricing updates on your behalf (when auto-sync is enabled)
• Store and process this data to provide our services

You are responsible for ensuring you have the right to share this data with us.

7. Intellectual Property

7.1 Our IP

All content, features, functionality, and technology on our platform are owned by Calibr8ted and protected by copyright, trademark, and other intellectual property laws. This includes:

• The Golden Engine algorithm and pricing methodology
• Calvin Tran 75-55-35 pacing framework
• Our branding, logos, and design elements
• All software, code, and documentation

7.2 License

We grant you a limited, non-exclusive, non-transferable license to access and use our platform for its intended purpose. This license terminates upon account closure or violation of these Terms.

8. Disclaimers and Limitations

8.1 Service "As Is"

Our platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of uninterrupted or error-free service
• Warranties regarding accuracy, reliability, or results

8.2 No Guarantee of Results

While our Golden Engine is designed to optimize pricing and increase revenue, we do not guarantee specific financial outcomes. Results depend on many factors including market conditions, property quality, competition, and your implementation of our recommendations.

8.3 Third-Party Services

We are not responsible for the performance, availability, or accuracy of third-party platforms (Airbnb, VRBO, PriceLabs, etc.). Integration issues with these platforms are outside our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Calibr8ted shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim
• We are not liable for lost profits, revenue, data, or business opportunities
• We are not liable for pricing errors that result from incorrect data you provided or third-party platform issues

10. Indemnification

You agree to indemnify and hold harmless Calibr8ted, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our platform
• Your violation of these Terms
• Your violation of any third-party rights
• Inaccurate or fraudulent information you provide

11. Termination

11.1 By You

You may terminate your account at any time by canceling your subscription through your account settings or contacting support.

11.2 By Us

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• Your payment method fails
• We suspect fraudulent or abusive activity
• Required by law or regulatory authority

11.3 Effect of Termination

• Your access to the platform will cease immediately
• You will lose access to all data and reports (download before canceling)
• Outstanding fees remain due
• Provisions regarding IP, indemnification, and liability survive termination

12. Modifications to Terms

We may modify these Terms at any time. Changes will be effective upon posting to our website. Material changes will be communicated via email. Your continued use of our services after changes constitutes acceptance of the new Terms.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms or use of our services shall be resolved through:

• Informal Negotiation: First, contact us at admin@calibr8ted.com to resolve informally
• Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in San Diego, California
• Class Action Waiver: You agree to resolve disputes individually, not as part of a class action

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Calibr8ted.

14.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full effect.

14.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

14.4 Assignment

You may not assign these Terms without our written consent. We may assign them to any successor or affiliate.
